RELEASE, WAIVER, HOLD HARMLESS, DEFEND, AND INDEMNIFICATION AGREEMENT
THIS DOCUMENT AFFECTS YOUR LEGAL RIGHTS – PLEASE READ CAREFULLY BEFORE PURCHASING OR ACCEPTING A TICKET TO DESERT RODEO.
As a participant, ticket holder, spectator, visitor, guest, invitee, volunteer, vendor, sponsor, employee of a third party, and/or contractor—whether attending with a paid ticket, complimentary admission, or a ticket purchased or transferred by another person (collectively, “Releasor”)—you acknowledge and agree as follows:
1. ASSUMPTION OF RISK AND WAIVER
Releasor understands and accepts all risks associated with attending or participating in any portion of the Desert Rodeo, including but not limited to the rodeo arena, concerts, midway, festival grounds, vendor areas, hospitality zones, bars, parking lots, campsites, and all related or ancillary activities (collectively, the “Event”).
Releasor acknowledges that the Event may involve inherent and unpredictable risks, including but not limited to:
- animal behavior (horses, bulls, livestock, pets, or wildlife);
- contact with other spectators, participants, or staff;
- consumption of alcoholic beverages, whether served by vendors or consumed by others;
- driving to, from, or around the Event, including the risk of DUI or vehicle collisions after attending;
- uneven, slippery, or natural terrain, temporary structures, lighting, or construction materials;
- weather conditions (heat, rain, wind, dust, etc.);
- crowd movement, loud sounds, fireworks, or flashing lights; and
- any negligent act or omission of another attendee, vendor, or Released Party.
Releasor voluntarily assumes all such risks, known or unknown, and agrees that no warranties or representations have been made regarding the safety or condition of the Event site or premises. Releasor accepts full responsibility for his/her health, safety, insurance, and any resulting medical or financial expenses.
2. RELEASE, HOLD HARMLESS, DEFEND, AND INDEMNIFY
Releasor fully and forever releases, holds harmless, defends, and indemnifies the following entities and individuals (“Released Parties”) from and against any and all claims, demands, losses, damages, causes of action, suits, liabilities, judgments, settlements, penalties, fines, costs, or expenses (including attorneys’ fees and court costs), whether known or unknown, arising out of or related to any injury, illness, death, property damage, or other loss suffered by Releasor or caused by Releasor’s conduct, arising from, connected to, or occurring at or in relation to the Event — including but not limited to:
- participation in or observation of rodeo or festival activities;
- animal contact, bites, or behavior;
- alcohol consumption or intoxication, before, during, or after the Event;
- slips, trips, or falls on any natural or artificial surface;
- acts or omissions of other guests, vendors, contractors, or staff;
- travel to or from the Event, including post-event driving or parking incidents; and
- any act or omission by a Released Party, even if caused in whole or in part by the negligence or alleged negligence of any Released Party (except gross negligence, recklessness, or intentional misconduct).
Releasor’s duty to defend includes the immediate and ongoing obligation to provide a full legal defense to any Released Party, at Releasor’s sole cost and expense, upon written notice of a claim or action, regardless of outcome. This obligation applies whether the claim is brought by Releasor, another attendee, a subrogating insurer, or any third party.
Released Parties include, without limitation:
- Zenda Productions LLC dba Desert Rodeo, and its members, managers, officers, employees, contractors, sponsors, vendors, volunteers, partners, successors, assigns, and affiliates;
- Coachella Horse Park LLC dba Desert International Horse Park, CHP Land Company LLC, and CHP Show Management Company LLC dba Apex Equisport, and each of their respective parent, affiliate, and subsidiary entities, agents, successors, assigns, employees, volunteers, and representatives; and
- Any person or entity acting in any capacity on behalf of or in connection with the ownership, production, management, sponsorship, or operation of the Event or any portion thereof, including but not limited to the rodeo arena, concerts, festival grounds, midway, vendor areas, parking lots, campsites, hospitality suites, and all related activities.
This Release and duty to defend applies regardless of how access was obtained, including through a purchased, complimentary, transferred, or gifted ticket, and survives the conclusion of the Event indefinitely.
3. PHOTO / MEDIA RELEASE
Releasor grants permission for Released Parties to use his/her image, likeness, and voice in any photographs, video recordings, or other media captured during the Event, in any format and for any lawful purpose, without compensation.
4. GOVERNING LAW, VENUE, LIMITATION, AND ATTORNEYS’ FEES
This Release shall be governed by and construed in accordance with the laws of the State of California. Any dispute shall be resolved exclusively in the state courts located in Los Angeles County, California, and Releasor submits to that venue and jurisdiction.
Any claim by Releasor must be brought within one (1) year of the alleged Loss. Any claim for property Loss is limited to Two Hundred Fifty Dollars ($250). Releasor agrees to reimburse Released Parties for all attorneys’ fees and costs incurred in enforcing this Release or in defending against any claim to which this Release applies. Trial by jury is expressly waived.
5. SECTION 1542 WAIVER (CALIFORNIA CIVIL CODE)
Releasor waives all rights under California Civil Code Section 1542, which provides:
“A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”
6. SEVERABILITY AND MODIFICATION
If any provision of this Release is held invalid, the remainder shall remain enforceable to the fullest extent permitted by law. This Release may only be modified in writing signed by an authorized officer of Zenda Productions LLC dba Desert Rodeo.
7. ACKNOWLEDGMENT
By purchasing, accepting, or using a ticket (including complimentary or gifted tickets), or by entering the Event grounds, Releasor certifies that he/she has read, understands, and agrees to be bound by this Release. Releasor acknowledges that this Release is a legally binding contract that remains in effect for all future Desert Rodeo events and related activities, whether on or off the Desert International Horse Park premises.
